BobP, the reason it is saying you must do a clean install is certainly because you're trying to install a 64-bit version of Windows 7. Also, to do an upgrade I believe you have to start the install from within Windows -- not boot from the install disc or USB stick. Scratch that. I looked it up and I guess Microsoft does not allow an upgrade from XP to Windows 7 that preserves your files and programs. Under Windows Vista,Windows 7 and Windows 8 Microsoft implemented a system level security called UAC (Google it) Now this prevents software writing to your hard disk without user permission. This has stopped the once seen overnight world wide spread of viruses, but plays havoke with many programs that need to write to the hard disk.
